Terms of Service
Last updated: 28 October 2026
These Terms of Service govern the contract between you and ladruit GbR, represented by its partners Maximilian Drude and Joel Ladwig, Germany ("we"), about the use of atermi: the desktop app, atermi accounts and the cloud service, the self-hosted components and the related documentation and support.
1. Scope and conclusion of the contract
The contract for an atermi account is concluded when your registration is complete. By submitting the registration, or by continuing from the registration to Google or GitHub, you accept these Terms. If you register with an email address and a password, the registration is complete when you verify your email address. If you register with Google or GitHub, we send you to that provider, and when it has confirmed your identity to us, we create your account with the email address the provider passes to us. If you have allowed atermi at that provider before, the provider may confirm your identity without asking you again. On our website, the registration is then complete. In the desktop app, the registration is complete when, after the provider has confirmed your identity, the app in which you started the registration passes your acceptance of these Terms on to us. This happens automatically. If it does not, for example because the registration was not started in your app, the app asks you to accept these Terms. Until you do, you can only accept them, download your data or delete the account, and if you do not complete the registration within 7 days, we delete the account. Before you submit the registration or continue to Google or GitHub, you can review and correct your details. Where the provider asks you to confirm, you can cancel the registration there. These Terms are always available at atermi.com/terms, where you can read, save and print them. We do not store a separate copy of the contract text for you.
If you use the desktop app without an account, these Terms apply to that use, except for the provisions that concern the account and the cloud service.
If you use atermi on behalf of a company or another organisation, you confirm that you are authorised to act for it. The contract is then concluded with that organisation. Terms of business of our customers do not apply, even if we do not object to them.
The contract language is English.
2. What atermi provides
atermi is an SSH and SFTP client for managing hosts, connections, keys and related data, alone or in teams. With an account, atermi stores your data end-to-end encrypted in our cloud service and synchronises it between your devices and team members.
The functions and limits of atermi are those described on atermi.com and in the app when you register, or when you buy a plan. We change them only as set out under Updates and changes to atermi.
3. Beta and free of charge
atermi is currently a beta and free of charge. Beta software can contain errors that lead to malfunctions, synchronisation problems or data loss. Keep your own backups of credentials and data you cannot afford to lose, and do not rely on atermi as the only place where they are stored.
The prices shown on atermi.com describe plans we intend to offer. They are not an offer. Before any paid plan starts, we will show you the price, the billing period, the payment terms, your right of withdrawal and any additional terms, and a paid plan will only start if you order it.
4. Your account
Provide accurate information when you register and keep your email address current, because we use it to send you notices about your account.
Keep your password, recovery information and devices safe. Because your vault is encrypted with keys we do not have, we cannot restore access to it if you lose them, unless you have set up a recovery method that atermi offers.
Tell us without undue delay at mail@ladruit.com if you suspect that someone else has access to your account.
5. Permitted use
Use atermi only for systems, networks and credentials that you own or are authorised to access. In particular, you must not use atermi to:
- gain unauthorised access to systems, accounts, networks or data,
- obtain, trade or misuse credentials or other secrets,
- spread malware, phishing or spam,
- carry out attacks, unauthorised scans, brute-force attempts or denial-of-service activity,
- break the law or infringe the rights of others,
- interfere with the operation or security of atermi, for example by circumventing limits or attacking our servers,
- resell atermi or make it available to third parties as a service without our consent.
6. Your data
The data you store in atermi remains yours. You are responsible for having the right to store and process it, in particular when it concerns your employer's or your customers' systems.
In teams, owners and administrators decide who has access to shared data. Remove members who no longer need access and change credentials they knew where necessary.
You can export your account data and delete your account at any time in the desktop app. You can also ask us by email to delete it.
7. Self-hosted components
If you run atermi components on your own servers, you are responsible for operating, securing, updating and backing up that environment. We are not responsible for failures that are caused by your environment.
8. Availability
We work to keep the cloud service available, but cannot guarantee uninterrupted availability during the beta. Maintenance, updates and faults can interrupt it. Where we can, we carry out planned maintenance at times of low use. The desktop app keeps working without the cloud service, apart from synchronisation and account functions.
We may temporarily restrict access to an account if this is necessary to avert an acute threat to the security of the service, other users or third parties. We will tell you the reason and lift the restriction as soon as the threat has passed.
9. Updates and changes to atermi
We develop atermi continuously. Keep the desktop app up to date, as updates can contain security fixes. We tell you about updates in the app.
We may change atermi beyond keeping it in conformity with the contract only for a good reason: to adapt it to a new technical environment or a larger number of users, for security reasons, to comply with legal or regulatory requirements, because a supplier or interface we rely on changes, or to develop the beta further on the basis of its results. A change will not cost you anything, and we will inform you about it clearly.
If a change impairs your access to atermi or its usability more than insignificantly, we will inform you by email in good time before it takes effect, stating what changes, when, and your right to terminate. You may then terminate the contract free of charge within 30 days of receiving the notice or of the change, whichever is later.
10. Support
We offer support by email at mail@ladruit.com. During the free beta we answer as quickly as we can, without committing to specific response times.
11. Rights of use
atermi, including the software, website, design, logos and documentation, is protected by copyright and other rights of ladruit GbR or its licensors.
For the duration of the contract, we grant you a simple, non-transferable right to use atermi for your own personal purposes or the internal purposes of your organisation. Your rights under §§ 69d and 69e of the German Copyright Act (UrhG) remain unaffected.
atermi contains open-source components. Their own licences take precedence for those components.
12. Third-party services
If you sign in with Google or GitHub, the terms of that provider also apply to the sign-in. atermi connects to servers that you choose. We are not responsible for those servers or for their content.
13. Term and termination
The contract runs for an indefinite period. You can terminate it at any time without notice, by deleting your account in the desktop app or by telling us in any other way, for example by email to mail@ladruit.com.
We can terminate the free contract with 30 days' notice by email. We will point out how you can export your data before the account is deleted.
Both parties can terminate for good cause without notice. Good cause for us exists in particular if you seriously or repeatedly breach the section on permitted use despite a warning. No warning is needed where one would be pointless or the breach is so serious that we cannot be expected to continue the contract.
After the contract ends we delete your account data as described in the Privacy Policy.
14. Defects
The statutory rules on defects apply. As long as atermi is free of charge, for business customers our liability for defects is limited to cases in which we fraudulently concealed a defect; liability under the section on liability remains unaffected.
15. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee.
For slight negligence we are liable only if we breach an essential contractual obligation, that is an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the damage that is typical and foreseeable for this kind of contract.
If data is lost through slight negligence, we are liable only for the effort that would have been needed to restore it from backups made at regular intervals appropriate to its importance. This does not apply to end-to-end encrypted entries, whether in your own vault or shared in a team. If data is lost on our servers, we restore it from our own backups where this is possible.
In earlier versions of these Terms, the third paragraph of this section limited our liability for lost data differently. We do not rely on that paragraph. If data is lost, the paragraph above applies instead, also if you have not accepted this version of the Terms.
These limitations also apply in favour of our partners, employees and agents.
16. Changes to these Terms
We may need to adapt these Terms, for example when we introduce paid plans or when the law changes. We will send you the new version by email at least 30 days before it is to take effect.
The new version applies to you only once you accept it, for example in the app or by email. If you do not accept it, the contract continues under the current Terms. In that case we may terminate the free contract with the notice period set out in the section on termination.
17. Governing law and place of jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country in which you have your habitual residence.
If you are a merchant, a legal entity under public law or a special fund under public law, the courts at our place of business have exclusive jurisdiction. We may also sue you at your general place of jurisdiction.
